ArmenianGPT Model License Agreement Version: 1.0 Preamble This License Agreement (hereinafter "Agreement") is a legally binding agreement between you, as the "User," and the project author, Aleksandr Baghramyan, as the "Licensor." It sets forth the terms and conditions governing the use of the ArmenianGPT model, its components, and related materials (hereinafter "Model"). By downloading, installing, or using the Model in any way, you unconditionally accept the terms of this Agreement and agree to be bound by all of its provisions. If you do not agree with any provision of this Agreement, you are not authorized to use the Model or any Derivative Work based on it. 1. Definitions "Model": The ArmenianGPT language model with all its components, including but not limited to, its architecture, weights, associated source code, and documentation. "Derivative Work": Any work created based on or derived from the Model, including modifications, translations, adaptations (fine-tuning), retraining, or any change made to its architecture. "Output Data": Any content, text, data, or information created (generated) as a result of using the Model. "Distribute": To make the Model or its Derivative Works available to any third party in any way, including by sale, transfer, sublicensing, or provision through a network service (e.g., an API). "Non-Commercial Use": The use of the Model exclusively for Personal Use or Academic Research. "Personal Use": Use of the Model by a natural person solely for personal study, experimentation, or for projects that do not, directly or indirectly, pursue any financial or other business benefit. "Academic Research": Research conducted within an accredited educational or scientific institution, the results of which are not intended for the creation of a commercial product and which is not funded by any commercial organization for the purpose of achieving its commercial objectives. "Commercial Use": Is considered any use that falls outside the scope of "Non-Commercial Use." It includes, but is not limited to, any use of the Model or its Output Data intended to generate direct or indirect financial gain, revenue, or other commercial advantage, including the creation of products or services, optimization of internal business processes, cost reduction, or any other use by a commercial organization. 2. Grant of License Subject to your full compliance with the terms of this Agreement, the Licensor grants the User a limited, non-exclusive, non-transferable, and revocable license to use the Model solely for Non-Commercial Purposes. 3. Restrictions and Obligations All rights not expressly granted to the User in this Agreement are reserved in their entirety by the Licensor. The User shall: a) Strictly adhere to usage prohibitions. It is prohibited to use the Model or its Output Data: i. To conduct or facilitate any activity prohibited by law. ii. To create or disseminate content that contains or promotes hate speech, discrimination, violence, or threats. iii. To create materials intended for self-harm, terrorism, or other dangerous activities that threaten public safety. iv. To knowingly create and spread disinformation or fake news that could cause public harm. v. To violate an individual's right to privacy or personal or family secrets. b) Absolute prohibition on high-risk applications. The User acknowledges that the Model may make mistakes and provide inaccurate, misleading, or biased information. Therefore, it is strictly prohibited to rely on the Model's Output Data or to use the Model in any high-risk situation where its error or inaccuracy could lead to death, bodily injury, serious health problems, significant financial or material damage, or severe environmental harm. Such areas include, but are not limited to, the following: Medical diagnosis, treatment prescription, or any form of medical advice. Legal, financial, or investment advice. Emergency management, disaster response, or any safety-related application. Control of vehicles (including autonomous vehicles) or critical infrastructure. c) Do not use Output Data to train other models. It is strictly prohibited to use the Output Data to train, fine-tune, or improve any other machine learning model without the prior written consent of the Licensor. d) Do not provide hosting services. It is prohibited to provide hosting, API, or similar services to third parties based on the Model. e) Do not develop competing foundational models. It is prohibited to use the Model, its components, or any Derivative Work created from it to develop or train a new foundational or general-purpose language model intended to be a direct substitute for or competitor to the ArmenianGPT project. This restriction does not prohibit the creation of specialized applications or tools based on the Model that are not new foundational models. f) Ensure compliance with data licenses. The User acknowledges that the data used to train the Model may contain copyrighted materials belonging to third parties. The User bears sole and complete responsibility for ensuring that their use case complies with the license terms of the original sources of such materials. g) Provide proper attribution. For any public Non-Commercial Use of the Model (e.g., in a scientific publication, public demonstration), the User must provide proper attribution, stating: "Created with the ArmenianGPT model (by Aleksandr Baghramyan)" or "Powered by ArmenianGPT by Aleksandr Baghramyan." 4. Absolute Prohibition of Commercial Use Any Commercial Use of the Model is strictly prohibited without a separate, written commercial license granted by the Licensor. It is hereby clarified that any use by a commercial organization, including, but not limited to, internal evaluation, testing, or research, is considered Commercial Use and requires separate licensing. Any permitted Distribution of the Model or any of its Derivative Works must be done exclusively under the terms of this Agreement. You may not offer or impose any additional or different terms that restrict the recipient's rights as provided under this Agreement. b) Provision of the Agreement. When Distributing the Model or its Derivative Works, you must provide each recipient with an unmodified copy of this Agreement. c) Notice of Changes. You must provide a clear notice of all significant modifications you have made to the Model. 6. Termination The rights granted to you under this Agreement will terminate automatically if you breach any of its provisions. Upon termination, the User must immediately cease all use of the Model and any Derivative Works created from it and destroy all copies and components of the Model, as well as all of its Derivative Works, in their possession. 7. Disclaimer of Warranties, Assumption of Risk, and Limitation of Liability a) Assumption and Acknowledgment of Risk. The User hereby confirms full awareness and acceptance that the Model is probabilistic by nature and may generate inaccurate, misleading, biased, or even harmful information. The User bears sole and complete responsibility for independently verifying the accuracy, completeness, and appropriateness of any information provided by the Model before relying on it. The Licensor shall not be held liable for any damages arising from the User's use of or reliance on the Output Data. b) Disclaimer of Warranties. THE MODEL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. c) Limitation of Liability. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE MODEL, REGARDLESS OF WHETHER THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 8. Final Provisions a) Right to Audit. The Licensor reserves the right, upon reasonable prior notice, to audit the User's use of the Model to confirm compliance with the terms of this Agreement. The User agrees to fully cooperate with any such audit. b) Indemnification. The User agrees to defend, indemnify, and hold harmless the Licensor from and against any and all claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from the User's use of the Model or breach of any provision of this Agreement. c) Governing Law and Jurisdiction. This Agreement and all relations connected herewith shall be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of and finally settled by the competent courts of the Republic of Armenia. d) Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be modified and interpreted so as to best accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of this Agreement shall remain in full force and effect. * e) Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written understandings or agreements concerning the Model.
