FUTO Model Weights License 1.0 Acceptance By using the FUTO Model Weights, you agree to all of the terms and conditions below. Copyright License FUTO Holdings, Inc. (the "Licensor") grants you a non-exclusive, royalty-free, worldwide, non-sublicensable, non-transferable license to use, copy, distribute, make available, and prepare Derivative Models of the Weights for any purpose, in each case subject to the limitations below. To the extent any of the Weights are not subject to copyright protection, these terms constitute a binding agreement between you and the Licensor, enforceable under applicable contract law. These terms will be governed by and construed under the laws of the State of Texas, without regard to its conflict of law principles. Limitations You may use the Weights or any Derivative Model for any purpose, including in commercial products and services, provided that you display a visible notice to end users stating that the product is powered by "FUTO Swipe" technology. This notice must appear in a location reasonable to the medium that is visible to end users, such as within the product's settings, about screen, or equivalent disclosure area. Failure to include this notice is a material breach of these terms. The Licensor grants you a limited, non-exclusive, non-transferable license to use the "FUTO Swipe" name and mark solely as required by the attribution notice in the Limitations section above. You may not use the name, trademarks, service marks, or logos of FUTO for any other purpose, including to endorse or promote Derivative Models or to suggest a relationship between you and FUTO beyond that of licensor and licensee. You may not alter, remove, or obscure any licensing, copyright, or other notices of the Licensor. Any use of the Licensor's trademarks is subject to applicable law. Distribution of Derivative Models If you distribute a Derivative Model, you must ensure that anyone who receives it also receives a copy of these terms. You must include a prominent notice in the model card, README, or equivalent documentation stating that the model is derived from FUTO Swipe and is subject to this license. If you modify the Weights, you must include in any distributed Derivative Model a prominent notice stating that you have modified them. Except as required by the attribution notice in the Limitations section, you may not use the name, trademarks, service marks, or logos of FUTO to endorse or promote Derivative Models or to suggest any sponsorship, affiliation, or endorsement by FUTO. Excluded Materials These terms apply only to the Weights. Inference code, source code, and datasets distributed alongside the Weights are governed by their own separate licenses and are not subject to these terms. Notices If you publish research results using the Weights, you must cite the Weights by the name "FUTO Swipe Model" in your publication. Fair Use You may have "fair use" rights for the Weights under the law. These terms do not limit them. No Other Rights These terms do not allow you to sublicense or transfer any of your licenses to anyone else, or prevent the Licensor from granting licenses to anyone else. These terms do not imply any other licenses. Patents If you make any written claim that the Weights infringe or contribute to infringement of any patent, your license for the Weights granted under these terms ends immediately. If your company makes such a claim, your license ends immediately for work on behalf of your company. Termination If you use the Weights in violation of these terms, such use is not licensed, and your license will automatically terminate. If the Licensor provides you with a notice of your violation, and you cease all violation of this license no later than 30 days after you receive that notice, your license will be reinstated retroactively. However, if you violate these terms after such reinstatement, any additional violation of these terms will cause your license to terminate automatically and permanently. No Liability As far as the law allows, the Weights come as is, without any warranty or condition, and the Licensor will not be liable to you for any damages arising out of these terms or the use or nature of the Weights, under any kind of legal claim. Definitions - The "Licensor" is FUTO Holdings, Inc. - "Weights" means the trained model weights, parameters, configurations, and checkpoints the Licensor makes available under these terms, including any portion of them. Weights do not include inference code, source code, datasets, documentation, or evaluation artifacts, which are governed by their own separate licenses. - "Derivative Model" means any model created by fine-tuning, continued training, pruning, or otherwise modifying the Weights, any model that incorporates the Weights in whole or in part, or any model trained in whole or in part on Model Outputs of the Weights or any Derivative Model. - "Model Outputs" means any data generated by running inference with the Weights or any Derivative Model. - "You" refers to the individual or entity agreeing to these terms. - "Your company" is any legal entity, sole proprietorship, or other kind of organization that you work for, plus all organizations that have control over, are under the control of, or are under common control with that organization. Control means ownership of substantially all the assets of an entity, or the power to direct its management and policies by vote, contract, or otherwise. Control can be direct or indirect. - "Your license" is the license granted to you for the Weights under these terms. - “Use” means anything you do with the software requiring your license. - “Trademark” means trademarks, service marks, and similar rights.
