UKL (Universal Public License) Version 1 19 November 2012 Copyright (C) 2012 Universal Bilgi Teknolojileri Preamble The purpose of UKL License is to encourage sharing and modifying the resource codes. The license aims to create an environment that the software can be edited by the customers and the other stakeholders. Instead of a licensing model of protection of commercial companies or user, EULA and GPL licensing models are presenting a model that balances the need of the both sides concerned. UKL licence gives the customer the opportunity to be informed of the contents of the software, allows them to do customization of the software by using their own resources and protects them from losing all the investment if the provider is unable to continue its business life. However, the manufacturer also guarantees the right to be the only distribution channel in order to continue his commercial life. Due to the nature of the software, it needs to be encoded by the manufacturer entirely or to be selected the semi-commercial licensed models such as LGPL, Apache 2.0. TERMS and CONDITIONS Definitions "License," refers to UKL (Universal Publice License) version 1. "License Provider" refers to the company that provided the licensed product. "Copyright" refers to the rights of the person who created the basic software from national and international agreements and legislations. "Program", "Work", or "Product" refers to any type of the output that can be covered by this license and copyright. "Licensee" or "buyer" may be a natural or a legal person. "Modify" a work means to copy from or adapt all or part of the work in a fashion requiring the copyright permission, other than the making of an exact copy. The resulting work is called a "modified version" or a work "based on" of the earliest work To "propagate " (or distribute) refers to share the contents of this work with other parties with commercial or non-commercial purposes. "EULA" refers to commercial license agreements. Source Code The "source code" for a work means the preffered form of the work for making modifications to it. "Object code" means any non-source form of a work. The "corresponding source" for a work in object code form means all the source code needed to generate, install, and (for executable work) run the object code and to modify the work, including scripts to control those activities, and source codes of the other parties. However; it does not include the work's system libraries, or general-purpose tools or generally available free programs, which are used unmodified in performing those activities but which are not part of the work. The corresponding source does not need to include anything that users can regenerate automatically from other parts of the corresponding source. Basic Permissions All rights granted under this license, refers to the use and modification of the work accordance with the permission of the copyright holder/first licensee, and it is irrevocable provided the stated conditions are met. Permissions to Use This license guarantees all license owners to use the legal copy without a time limit. License owners are not liable to pay any fee for the product only to their use. Permission to use applies for all the users works under a legal entity, in case of the acceptance of this license. Source Code Sharing and Modifying This license provides the right to view and modify the source code of the acquired software. It is required to mention the license provider's name on the modified work. All the issues mentioned in this license does not eliminate the bindings of the other products integrated in the program as corresponding sources. Distribution Distribution of the original or the copy of the source code by natural or legal persons that accept this license is subject to the approval of the copyright holder. (manufacturer) Signing of the Contract The license will take effect upon signing personally by the license provider and the licensee. The signature owner is required to be authorized to sign on behalf of the legal person. In case of the license owner asks support for additional development or maintenance from a third party company, it is only approved if the support company is a legal licensee of the software or/, and the licence does not include the distribution of original or modified version of the source code. Termination Modifying the work, except provided under this license, is prohibited. Any breach of the terms of the license will terminate this license, and the rights granted under this license. Other Liabilities Any addition to the obligations undertaken (whether by a court order, agreement or otherwise) that contradict the conditions of this licence, they do not excuse you from the conditions of this license. Disclaimer of Warranty There is no warranty for the program, to the extend permitted by applicable law. Unless otherwise stated in writing the copyright owners provide the program "as is" without warranty of any kind, either expressed or implied warranties of merchantability and fitness for a particular purpose. The entire risk as to the quality and performance of the program are with you. Should the program prove defective, all necessary service, repair or correction costs is at your expense. Limitation of Liability In no event unless required by applicable law or agreed to in writing will any copyright holder, or any other party that modifies and/or conveys the program as permitted above, be liable to you for damages, including any general, special, incidental or consequential damages arising out of the use or inability to use the program (including but not limited to loss of data or data being rendered inaccurate or losses sustained by you or third parties or a failure of the program to operate with any other programs), even if such holder or other party has been advised of the possibility of such damages.
